Bamboo Airways plans to replace the entire Board of Directors after 5 current members resigned.

In documents prepared for next week's general meeting of shareholders, Bamboo Airways said it has received resignation requests from members of the Board of Directors of Mr. Nguyen Ngoc Trong, Doan Huu Doan, Le Ba Nguyen, Le Thai Sam and Nguyen Manh Quan.

To ensure the Board of Directors continues to operate, Bamboo Airways will submit to shareholders for approval the official dismissal of these 5 members at the annual meeting on June 21. After that, the company will elect a new Board of Directors for the 2023-2028 term with 7 members.

Among the members who have just resigned, Mr. Trong is the Chairman of the Board of Directors of Bamboo Airways since August 2022. Born in 1957, he has been with this airline since its inception and has also been the first Deputy General Director of Bamboo Airways since 2018.

Mr. Le Ba Nguyen and Mr. Doan Huu Doan hold the position of Vice Chairmen of the Board of Directors of the airline. Mr. Nguyen is the brother-in-law of former FLC Chairman Trinh Van Quyet. Currently, Mr. Nguyen is the Chairman of the Board of Directors of FLC. Mr. Doan joined the Board of Directors of Bamboo Airways last August and also holds the position of Permanent Deputy General Director of this airline.

Mr. Nguyen Manh Quan had been CEO of Bamboo Airways since July 2022 but resigned from this role at the end of last month.

Mr. Le Thai Sam, a member of the Board of Directors of both FLC and Bamboo Airways, is the person who lent this airline more than VND 7,700 billion in unsecured loans. In early May, FLC announced a resolution to transfer more than 400 million Bamboo Airways (BAV) shares, equivalent to 21.7% of capital, to Mr. Sam. Before FLC transferred the shares, he held 231.7 million BAV shares, equivalent to 12.53% of the airline's charter capital. Thus, Mr. Sam can own more than 34% of Bamboo Airways' capital.

In addition to the Board of Directors, Bamboo Airways will also dismiss three members of the Supervisory Board, namely Mr. Tran Anh Tuan, Pham Van Phung and Nguyen Dang Khoa. The company will elect three members to replace the Supervisory Board for the 2023-2028 term.

Currently, Bamboo Airways has not announced the list of candidates to be elected to the Board of Directors and Supervisory Board for the new term. However, in the middle of last month, Mr. Nguyen Ngoc Trong also gave an indication of high-level personnel changes in the context of Bamboo Airways' strong restructuring after FLC divestment.

According to Mr. Trong, Bamboo Airways may have drastic changes in both senior positions in the Board of Directors and Executive Board. In the immediate future, Mr. Hideki Oshima, former Director of International Relations and Airline Alliances of Japan Airlines, will join the Board of Directors of Bamboo Airways and the Executive Board. Mr. Masaru Onishi, former President of Japan Airlines, will serve as Senior Advisor to the Board of Directors of Bamboo Airways. Japan Airlines is the second largest airline in Japan. At the end of 2019, Japan Airlines also proposed extensive cooperation with Bamboo Airways during a meeting between the two airlines' leaders in Hanoi .

Currently, Bamboo Airways' operations are run by CEO Nguyen Minh Hai. Mr. Hai was appointed CEO to replace Mr. Nguyen Manh Quan at the end of May. With 25 years of experience in the aviation industry, he was Deputy General Director of Vietnam Airlines (April 2015 to January 2019) and General Director of Cambodia Angkor Air.

Responding to the Government Portal on June 12, Mr. Hai said that Bamboo Airways is in the process of completing the ownership transfer from the old investor to the new investor, and the restructuring will take time. According to him, the restructuring is "very methodical", including recruiting and hiring experienced senior personnel from international airlines to supplement resources for Bamboo Airways.
