Eximbank speaks out about the news that the new Chairman was requested by shareholders to be dismissed

Vietnam Export Import Commercial Joint Stock Bank (Eximbank, HoSE: EIB) has just issued a statement regarding different information related to Ms. Do Ha Phuong - Chairwoman of Eximbank's Board of Directors, who was elected on June 28, 2023.

According to Eximbank, as of 1:08 p.m. today (June 30), when Tuoi Tre Newspaper published an article: "Just after taking office, the new chairman of Eximbank was asked to be dismissed by a group of shareholders", Eximbank has not received a request from Mr. Tran Hoang Ninh to terminate the authorization, nomination and request to withdraw Ms. Do Ha Phuong from the Board of Directors as reported in the newspaper.

In addition, through information verification, Eximbank found that the list of Shareholders nominating Ms. Do Ha Phuong to the Board of Directors of Eximbank for the 7th term (2020-2025) did not include Mr. Tran Hoang Ninh as stated in the article.

In addition, Eximbank affirmed that the procedures for organizing the Board of Directors meeting related to the dismissal of Ms. Luong Thi Cam Tu from the position of Chairman of the Board of Directors and the election of Ms. Do Ha Phuong to this position for the 7th term (2020-2025) complied with the provisions of law, Eximbank's Charter and Eximbank's internal regulations.

Previously, there was a lot of information that today, Mr. Tran Hoang Ninh, representing a group of shareholders, sent to the Board of Directors of Eximbank a request to withdraw the nomination and dismiss Ms. Do Ha Phuong, the new Chairwoman of Eximbank. Previously, Ms. Phuong was nominated by this group of shareholders to join the Board of Directors for the 2020-2025 term.

Mr. Ninh, representing a group of shareholders holding 10% of Eximbank's shares, nominated Ms. Do Ha Phuong to the position of member of Eximbank's Board of Directors for the 7th term (2020-2025).

Mr. Ninh said that after being nominated, Ms. Do Ha Phuong showed signs of abusing the trust of shareholders for personal gain.

"We determined that we did not request and completely reject Ms. Do Ha Phuong's arbitrarily inviting the board of directors' meeting, arbitrarily voting to elect the board of directors, voting to dismiss the board of directors' chairman and other votes on June 28.

Ms. Phuong's behavior shows signs of abusing the trust of the nominating shareholders for personal gain by performing work contrary to the civil will and the rights and interests of shareholders," the document stated.

Therefore, this group of shareholders agreed to notify the Board of Directors, Board of Supervisors and General Director of Eximbank of the termination of authorizations, nominations and proposed to withdraw Ms. Do Ha Phuong from the bank's Board of Directors.

Also today, the Banking Inspection and Supervision Agency (State Bank) said it had received Ms. Luong Thi Cam Tu's report on June 15 and Eximbank's document on June 28 announcing personnel changes.

Accordingly, the agency requested Eximbank's Board of Supervisors to review and clarify the contents related to the request to convene the Board of Directors' meeting on June 1 and subsequent meetings to see whether they are in accordance with the provisions of law, the charter as well as Eximbank's internal regulations.

At the same time, this unit must clarify the implementation of Eximbank's personnel change procedures according to the announcement on June 28 and the report of Ms. Luong Thi Cam Tu.

Eximbank's Supervisory Board Chief must report these contents on July 3 .
