FLC Group Joint Stock Company (stock code: FLC) announced the resolution of the Board of Directors (BOD) on August 20 on convening the second extraordinary general meeting of shareholders (GMS) this year.
The content of this meeting is to dismiss and elect additional members of the Board of Directors and Supervisory Board; amend the operating regulations of the Board of Directors and Supervisory Board; and other issues under the authority of the General Meeting of Shareholders.
According to the resolution, the last registration date to make a list of shareholders attending the meeting is September 10. The specific time and location of the meeting have not been announced, FLC said it will notify later.
Thus, if successfully convened, FLC will hold extraordinary General Meetings of Shareholders twice a year, but during the past 3 years, it has not been able to hold annual General Meetings of Shareholders.

Information from FLC's corporate governance report shows that the first half of this year continues to be a busy period with high-level personnel work. The resolution of the annual general meeting of shareholders issued in February approved the dismissal of 4 personnel, including: Mr. Doan Huu Doan and Mr. Le Thai Sam were dismissed from the positions of members of the Board of Directors from February 20; Mr. Nguyen Tri Thong and Mr. Nguyen Quang Thai were dismissed from the positions of members of the Board of Supervisors from February 20.
At the same time, the resolution includes the election of Mr. Le Tien Dung and Mr. Ngo Dang Hoang Anh to the positions of members of the Board of Directors for the 2021-2026 term; and the election of Ms. Nguyen Thi Van Anh and Ms. Nguyen Thu Hien to the positions of members of the Supervisory Board for the 2021-2026 term.
Accordingly, up to now, FLC's Board of Directors has 5 members including Mr. Le Ba Nguyen as Chairman of the Board of Directors, other members of the Board of Directors are Ms. Vu Dang Hai Yen, Ms. Tran Thi Huong, Mr. Le Tien Dung and Mr. Ngo Dang Hoang Anh.

In February, FLC held an extraordinary 2024 General Meeting of Shareholders with the participation of 103 shareholders, accounting for more than 33.721% of voting shares. In addition to the dismissal and election of additional members of the Board of Directors and Supervisory Board, it also reported on restructuring results, business plans and approved the change of head office address.
At the above time, the total value of existing assets is estimated at more than 21,000 billion VND. After a strong restructuring process, the personnel structure was adjusted to reduce 60% of the organic staff, balance the organizational structure and stabilize the income for more than 3,500 employees, the total salary and bonus in 2023 reached more than 300 billion VND. This group has merged 50% of the departments, newly established the Business and Strategy Department, and the Information Technology Department.
