Novaland 'plays' big, issues nearly 100 million bonus shares and sells them cheaply to employees

No Va Real Estate Investment Group Joint Stock Company ( Novaland - stock code NVL) has just announced a plan to reward shares and offer preferential shares to employees. The purpose is to recognize the efforts and dedication of the leadership team in the business process, create motivation and attract long-term commitment.

Specifically, Novaland will issue nearly 48.8 million shares to reward employees, equivalent to 2.5% of outstanding shares. The source of implementation is taken from the capital surplus based on the audited 2024 separate financial report. Bonus shares distributed to ordinary members will be restricted from transfer for 1 year. For key members, the transfer restriction ratio is 100% in the first year, 70% in the second year, 40% in the third year and from the fourth year onwards, they are freely traded.

At the same time, Novaland will offer nearly 48.8 million preferential shares to employees at VND10,000/share. At the end of last week's trading session, NVL shares stood at VND17,300. Thus, many Novaland employees will be able to buy shares at a price nearly 60% cheaper than the market price.

In total, Novaland plans to issue about 97.5 million shares, equivalent to 5% of the outstanding number. The implementation period for both options is from September 5 to September 30. All proceeds from the share issuance will be added to the company's working capital and business operations. These shares are also restricted from transfer within 1 year. After completion, Novaland's charter capital will increase to VND20,476 billion.

It is estimated that Novaland employees who are awarded shares will benefit about 844 billion VND. For the purchase of preferential shares at the price of 10,000 VND, these employees will also benefit more than 385 billion VND. However, the purchase of preferential shares and the sale of them after only one year, the profit level also depends on the price fluctuations of NVL shares on the stock exchange.

In early August, Novaland's 2025 Extraordinary General Meeting of Shareholders approved the plan to issue private shares to convert debt to shareholders and outstanding bond principal; the plan to implement the loan with the right to convert into shares, and elect additional members of the Board of Directors.
