How to name a business according to regulations for private tutors

Circular 29/2024 issued by the Ministry of Education and Training officially takes effect, schools nationwide have started to teach extra classes.

Article 6, Circular 29/2024 stipulates that organizations and individuals who open extra classes outside of school and collect fees from students must register their business to be subject to management under the provisions of the Enterprise Law. However, many teachers still do not know how to name their extra teaching business when registering.

How to name a business according to regulations

Article 88, Decree 01/2021/ND-CP clearly stipulates the naming of business households. Specifically, business households have their own names, which include two components in the order of the phrase "Business household" and the business household's proper name. The proper name is written in letters of the Vietnamese alphabet, the letters F, J, Z, W, and can be accompanied by numbers and symbols.

At the same time, it is not allowed to use words or symbols that violate the historical, cultural, ethical and traditional customs of the nation to name a business household. A business household also cannot use the phrase “company” or “enterprise” to name its business household.

The business household's proper name must not coincide with the registered business household's proper name within the district level.

Thus, the way to name a tutoring business must ensure the following requirements:

• The name must include the phrase "Business Household".
• Must have a proper name written in Vietnamese letters, F, J, Z, W, can be accompanied by numbers and symbols.
• Do not use words or symbols that violate the historical, cultural, ethical traditions and customs of the nation to name proper names.
• Do not use the phrases "company" or "enterprise" to name a business household.
• Not identical to the proper name of a business household registered within the district level.

Registration form for tutoring business

According to Article 87, Decree 01/2021, the business registration application requires the following documents:

• Application for business registration.
• Legal documents of individuals for business owners, household members registering for business households in case household members register for business households.
• Copy of minutes of household members' meeting on establishment of business household in case household members register business household.
• .A copy of the authorization document of a household member for a member to be the business owner in case the household members register the business.

Article 84 of Decree 01/2021/ND-CP further stipulates that in cases where it is not possible to do it by oneself, the business household owner may authorize another organization or individual to register the business household in accordance with the provisions of law.

In addition, pursuant to Article 7, Circular 105/2020 of the Ministry of Finance , after registering for tutoring business, business households need to carry out the first tax registration procedures as follows:

• Tax registration form.
• Copy of business registration certificate (if any).
• Copy of valid citizen identification card for individuals who are Vietnamese citizens.
• Copy of valid passport for individuals with foreign nationality or individuals with Vietnamese nationality living abroad.
